Rides With Purpose (RWP)
General Terms of Service
Effective Date: October 7, 2025
PREAMBLE
This Terms of Service Agreement (“Agreement”) constitutes a legally binding contract between the individual or entity (“User,” “Driver,” or “Passenger”) accessing or using the Rides With Purpose platform and Rides With Purpose, LLC (“Rides With Purpose,” “RWP,” “Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Texas. By accessing, downloading, or using the RWP mobile application, website, or any related services (collectively, the “Platform”), you agree to be bound by this Agreement. If you do not agree to these Terms, you may not use or access the Platform.
1. DEFINITIONS
For purposes of this Agreement: “Account” means a registered user profile on the Platform; “Driver” means a licensed independent contractor authorized by RWP to provide transportation to Passengers; “Passenger” refers to a rider who books transportation services through the Platform; “Content” means all materials, text, graphics, data, or code appearing on or transmitted through the Platform; “Applicable Law” refers to all laws, rules, and regulations of the United States and the State of Texas.
2. ACCEPTANCE OF TERMS
By creating an account or using the Platform, you represent that you are legally competent to enter into this Agreement. You agree that continued use after updates to this Agreement constitutes binding acceptance of those changes.
3. ELIGIBILITY
Users must be 18 years or older to register or use the Platform. Drivers must hold valid licenses, insurance, and background clearance. RWP reserves the right to deny or suspend access to anyone not meeting eligibility requirements.
4. PASSENGER RESPONSIBILITIES
Passengers must comply with all local, state, and federal transportation laws. Unaccompanied minors are prohibited. Passengers are responsible for providing and correctly installing required child safety seats. Any violation, including unsafe or unlawful conduct, may result in trip cancellation and applicable fees.
5. DRIVER RESPONSIBILITIES
Drivers act as independent contractors and are solely responsible for compliance with all driving, licensing, and insurance regulations. Drivers shall: (a) operate vehicles safely; (b) maintain proper documentation; (c) pay all RWP membership fees; and (d) avoid harassment, discrimination, or illegal conduct.
6. CANCELLATION AND FEES
(a) Cancellations before driver arrival may incur a cancellation fee. (b) If a driver waits for the allotted timer to expire, 50% of the estimated fare shall be charged. (c) Cancellations due to passenger misconduct, lack of a car seat, or unaccompanied minors shall result in full fare being charged.
7. DASH CAMERA POLICY
Drivers are strongly encouraged to use dual dash cameras capable of cloud storage (e.g., Vantrue N4, Nexar Pro, BlackVue DR900X). Footage may be reviewed in investigations. Passengers consent to recording by entering the vehicle.
8. LICENSE AND INTELLECTUAL PROPERTY
RWP grants a limited, non-transferable, revocable license to access the Platform for personal or lawful business use. All software, trademarks, and intellectual property belong exclusively to RWP. Unauthorized reproduction or distribution is strictly prohibited.
9. PAYMENTS AND DONATIONS
Drivers retain 100% of fares and tips. Membership fees and safety fees are collected by RWP. Passengers authorize secure payment processing via Stripe. Donations are voluntary,
non-refundable, and used for verified veteran-support programs, with transparency reports published periodically.
10. BACKGROUND CHECKS AND SAFETY
All Drivers are subject to third-party background screening via an RWP-approved provider such as DISA. RWP reserves the right to deny or revoke driver access at any time for safety or compliance reasons.
11. Commitment to Accessibility
RWP is committed to ensuring that all riders, including those with disabilities, have equal access to our platform and transportation services. All users and drivers must comply with applicable accessibility laws, including the Americans with Disabilities Act (ADA).
Service Animals
Drivers must accept riders accompanied by service animals. A service animal is defined by the ADA as a dog (or, in limited cases, a miniature horse) individually trained to perform specific tasks or work for a person with a disability.
When it is not obvious what service the animal provides, drivers may ask only:
“Is the animal required because of a disability?”
“What work or task has the animal been trained to perform?”
Drivers may not:
Ask about the rider’s disability
Request documentation or proof of training
Require the animal to demonstrate its tasks
Refusing service, charging additional fees, or otherwise discriminating against riders with service animals is strictly prohibited and may result in suspension or permanent deactivation.
Emotional Support Animals (ESAs)
ESAs are not considered service animals under the ADA. Drivers are not required to accept rides that include ESAs.
Animal Behavior
A driver may end a trip only if the animal is out of control and the handler does not take effective action to manage it, or if the animal is not housebroken.
Reporting Accessibility Issues
Riders or drivers who experience or witness accessibility-related issues may report them to RWP Support at [insert support email/support link] for review and resolution.
12. INDEPENDENT CONTRACTOR RELATIONSHIP
Drivers acknowledge they are independent contractors. Nothing in this Agreement creates an employment, partnership, or agency relationship between Drivers and RWP.
13. REPRESENTATIONS AND WARRANTIES
Users represent and warrant that they possess the legal authority to enter this Agreement and will comply with Applicable Law. The Platform is provided “AS IS” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, RWP, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages, even if advised of such damages. RWP’s total cumulative liability shall not exceed $100 or the total amount paid by the User within the preceding twelve (12) months, whichever is greater.
15. INDEMNIFICATION
Users agree to defend, indemnify, and hold harmless RWP and its affiliates from any claims, losses, or damages (including attorneys’ fees) arising out of use of the Platform, violation of these Terms, or breach of law.
16. DISPUTE RESOLUTION AND ARBITRATION
All disputes arising from or relating to this Agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in Bexar County, Texas. Each party waives the right to a jury trial or class action. Arbitration awards may be enforced in any competent jurisdiction.
17. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas and the applicable federal laws of the United States of America.
18. FORCE MAJEURE
RWP shall not be liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, acts of terrorism, strikes, or internet outages.
19. ASSIGNMENT
RWP may assign its rights or obligations under this Agreement without restriction. Users may not assign their rights without RWP’s prior written consent.
20. SEVERABILITY
If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. WAIVER
No waiver of any breach or default shall be deemed a waiver of subsequent breaches or defaults.
22. NOTICES AND ELECTRONIC COMMUNICATIONS
Users consent to receive notices electronically via the email associated with their account or through postings on the Platform. Such notices shall be deemed received upon dispatch.
23. MODIFICATIONS
RWP reserves the right to amend this Agreement at any time. Continued use of the Platform after posting constitutes acceptance of such amendments.
23. ENTIRE AGREEMENT
This Agreement constitutes the full understanding between the parties and supersedes all prior discussions, proposals, or representations.

Rides With Purpose, LLC – Driver Terms of Service
Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Driver,” “you,” or “your”) and Rides With Purpose, LLC (“RWP,” “Company,” “we,” “us,” or “our”) governing your access to and use of the RWP mobile application, website, and related services (collectively, the “Platform”).
By signing up, logging in, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Section 1 – Eligibility Requirements
To qualify as a Driver on the RWP Platform, you must:
Be at least 21 years of age with a valid U.S. driver’s license;
Maintain a clean driving record in accordance with state and local laws;
Pass any required motor-vehicle or criminal background checks; and
Comply with all local, state, and federal Transportation Network Company (“TNC”) regulations.
Section 2 – Membership and Fees
Drivers must maintain an active membership to access the Platform.

Each tier includes RWP’s Safety and Security Fee, which funds company-wide safety programs, driver-background verification, and compliance with TNC insurance requirements.
Background-Check Reimbursement: Drivers pay for their initial background verification during onboarding. RWP reimburses this cost through discounted membership fees during months 2–4 of active membership.
Initial TNC licensing and business-insurance costs are covered through company startup financing. Thereafter, Safety and Security Fees continue to fund renewals so that Drivers are not charged separate or additional safety or insurance fees.
Veterans with proof of military service qualify for the Basic / Veteran tier at the veteran earning cap above.
Section 3 – Membership Terms
Membership fees are due monthly in advance and processed securely through Stripe, RWP’s payment processor.
All memberships operate on an automatic recurring payment basis, meaning your subscription will renew automatically each month unless cancelled prior to the next billing date.
By enrolling, Drivers authorize RWP and its payment processor to charge the payment method on file for recurring membership fees until cancellation is submitted.
Drivers may cancel membership at any time through the Platform or by written notice; partial-month refunds are not available.
To avoid renewal, cancellation must occur at least three (3) business days before the next billing date.
Drivers are responsible for maintaining accurate billing and payment information at all times.
Failure to maintain an active membership or current payment method may result in immediate suspension or deactivation of Platform access.
Section 4 – Driver Obligations
Drivers must:
Operate vehicles that meet RWP’s safety and appearance standards;
Maintain professional conduct with Riders at all times;
Comply with all traffic laws and TNC regulations;
Never engage in discrimination, harassment, or unsafe behavior;
Complete a mandatory background verification at their own expense during onboarding; and
Maintain all vehicle registration, inspection, and insurance documentation in good standing.
Drivers who complete onboarding receive discounted membership fees for months 2, 3, and 4 to reimburse the background-check cost.
Section 5 – Rider Interactions and Donations
Drivers keep 100 % of fares and tips paid by Riders.
Drivers and Riders may optionally donate 1 %, 2.5 %, or 5 % of their earnings or fares to veteran-support initiatives facilitated through RWP’s partnership with Mu Beta Phi Military Fraternity Inc.
All donations are processed transparently and directed in full to that organization. Donations are voluntary and non-refundable.
Section 6 – Pick-Ups, Wait Time, and Cancellations
a. Drivers must arrive promptly at the Rider’s pickup location.
b. If a Rider fails to appear within the allotted wait-timer period (five minutes), the Driver may mark the ride as a “No-Show.” Once the timer expires, the Driver is entitled to record the wait as completed and is not required to remain on-site; the Passenger will be charged 50 % of the estimated fare.
c. Repeated late arrivals, cancellations, or failure to follow these procedures may result in deactivation.
Section 7 – Insurance Requirements
Mandatory Coverage. All Drivers must maintain automobile insurance that complies with state laws and permits TNC use.
Proof of Insurance. Drivers must submit proof of insurance before activation and upon renewal or request.
Carrier Eligibility. At this time, USAA-insured drivers are not eligible; such drivers have 30 days to obtain compliant coverage.
Company TNC Licensing and Coverage During Rides. RWP maintains company-wide TNC licensing and insurance, funded via the Safety and Security Fee. Drivers must still maintain personal auto coverage.
Verification and Updates. RWP may verify or request updated insurance at any time; failure to comply may result in suspension or termination.
Section 8 – Vehicle Standards
To ensure passenger safety, comfort, and brand consistency, all vehicles must meet the following:
General Requirements
Safe, clean, and presentable condition;
Functioning safety equipment, lights, and signals;
Current inspection and registration;
No salvage/rebuilt titles or major mechanical defects;
Required RWP / TNC identification displayed while active.

Brand Consistency Clause. RWP reserves the right to approve or deny specific vehicle makes or models to preserve brand image and market consistency. Sub-compact or economy vehicles may be excluded from higher-tier eligibility at RWP’s discretion.
Comfort & Cleanliness Standards
Functioning AC/heat, clean upholstery, undamaged cabin.
No tobacco, vape, or strong odors.
Free of personal clutter and consistent with RWP’s veteran-focused brand.
RWP may inspect or request proof of compliance at any time.
Section 9 – Payments and Processing Fees
All payments, including membership fees, are processed through Stripe, which may charge transaction or withdrawal fees when Drivers cash out.
The Safety and Security Fee funds RWP’s insurance, safety compliance, and TNC regulatory obligations.
RWP is not responsible for Stripe timelines or banking delays.
Section 10 – Suspension or Termination
RWP may suspend or terminate a Driver’s access for:
a. Violation of these Terms or law;
b. Safety risks to Riders, the public, or the Driver;
c. Failure to maintain licensure or insurance;
d. Vehicle non-compliance, including:
Exceeding model-year limits (15 / 10 / 5 years);
Failing to meet comfort, cleanliness, or brand-consistency standards;
Operating with a salvage/rebuilt title; or
Refusing to correct mechanical or cosmetic defects.
e. Failure to respond to compliance requests;
f. Fraud, abuse, harassment, or other misconduct.
Annual Rollover Compliance. If a vehicle becomes non-compliant due to age, the Driver must upgrade within 30 days of notice.
Driver-Initiated Termination. Drivers may deactivate accounts at any time.

Section 13 – Amendments
RWP may modify these Terms at any time. Updates will be posted on the Platform and emailed to active Drivers. Continued use constitutes acceptance.
Section 14 – Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Section 15 – Dispute Resolution (Arbitration)
All disputes shall be resolved by binding arbitration administered by the AAA in Bexar County, Texas. Judgment on the award may be entered in any competent court. Each party bears its own legal fees unless otherwise required by law.
Section 16 – Indemnification
Drivers agree to indemnify, defend, and hold harmless Rides With Purpose, LLC, its officers, directors, employees, agents, and affiliates from any and all claims, damages, or expenses (including attorney’s fees) arising from:
Driver’s actions or violations of law;
Breach of these Terms; or
Third-party claims arising out of Driver conduct.
Section 17 – Driver Referral and Rewards Program
Referral Code Assignment. Each Driver in good standing receives a unique referral code upon activation.
Referral Eligibility. A referral counts only if the new Driver: (a) registers using the code, (b) remains active and in good standing for at least 30 days, and (c) the referring Driver also maintains active membership.
Reward Calculation. For every five (5) qualified active referrals, the referring Driver receives a one-month membership-fee waiver for the following billing cycle.
Program Discretion and Limitations. RWP may modify, suspend, or terminate the program; verify eligibility; and disqualify fraudulent or inconsistent activity.
Activation and Deactivation of Referral Codes. Referral codes are Company property and may be activated or deactivated at RWP’s discretion to prevent regional oversaturation.
Tax Liability. Rewards may constitute taxable income; Drivers are solely responsible for reporting and paying any related taxes.
Rides With Purpose, LLC – Passenger Terms of Service

Contractual Relationship
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Passenger,” “you,” or “your”) and Rides With Purpose, LLC, a Texas limited liability company (“RWP,” “Company,” “we,” “us,” or “our”), governing your access to and use of the Rides With Purpose mobile application, website, and related technology platform (collectively, the “Platform”).
By downloading, accessing, or using the Platform, creating an account, or arranging transportation through RWP, you expressly acknowledge and agree to be bound by these Terms, our Privacy Policy, and any supplemental policies referenced herein.
If you do not agree to these Terms, you may not use the Platform.
The RWP Platform
The Platform enables Passengers to connect with independent contractor Drivers who provide transportation services.
RWP does not provide transportation or logistics services and does not operate as a motor carrier, common carrier, or taxi company.
Drivers act solely as independent contractors under their own authority. RWP is not responsible for their actions, omissions, or representations.
Definitions
“Platform” – the Rides With Purpose mobile app, website, and supporting technology.
“Ride” – a transportation trip scheduled and completed through the Platform.
“Passenger” – any individual requesting or booking a Ride.
“Driver” – an independent contractor using the Platform to provide Rides.
“Safety and Security Fee” – the per-ride fee used to fund company-wide safety, compliance, and insurance programs.
“Donation” – a voluntary contribution made through the Platform to veteran-support initiatives.
Eligibility and Payment Method Requirements
You must:
Be 18 years of age or older to use the Platform independently;
If under 18, be accompanied for the entire Ride by a parent or legal guardian;
Maintain a valid payment method attached to your RWP Passenger Profile, which will be securely processed through Stripe, RWP’s authorized third-party payment processor; and
Comply with all applicable federal, state, and local laws governing rideshare participation.
By adding or maintaining a payment method, you authorize RWP and Stripe to charge that payment source for all fares, tips, fees, donations, and adjustments.
RWP does not store full card numbers or sensitive financial data; transactions are encrypted and securely handled by Stripe in accordance with PCI-DSS standards.
RWP may suspend or terminate access if payment authorization cannot be verified, the card expires, or a transaction is declined or reversed.
Passenger Conduct and Responsibilities
a. Unaccompanied Minors — Minors under 18 are prohibited from using the Platform without adult supervision. Drivers may refuse service to unaccompanied minors without refund.
b. Car Seats — Passengers are responsible for providing and properly installing legally required child-safety seats. Drivers may refuse service if compliance is not met.
c. Conduct — Passengers must behave respectfully, lawfully, and safely. Harassment, intoxication, or disorderly conduct may lead to suspension or termination.
d. Prohibited Activities — Passengers may not interfere with a Driver, attempt fraud, use the Platform for illegal purposes, damage vehicles, or create duplicate accounts to evade enforcement.
Booking, Cancellations, and Fees
Pre-Arrival Cancellation: If a Passenger cancels before Driver arrival, a cancellation fee may apply.
No-Show / Wait Expiry: If the Passenger fails to appear within five (5) minutes of Driver arrival, 50 % of the estimated fare will be charged.
Cancellations for Cause: If cancelled due to misconduct, lack of child seat, or unaccompanied minor, the full fare may be charged.
Trip Disputes: Ride disputes must be submitted within 72 hours of trip completion.
Payments and Safety Fees
All payments are processed via Stripe, Inc. By using the Platform, you authorize RWP and Stripe to process charges for fares, tips, donations, and fees.
Each Ride includes a Safety and Security Fee to fund insurance coverage, driver-safety compliance, and Transportation Network Company (TNC) obligations.
RWP is not liable for banking or processor delays.
Donations
Passengers may choose to donate 1 %, 2.5 %, or 5 % in addition to the total fare to support veteran homelessness prevention.
Donations are voluntary, processed separately, non-refundable, and directed in full to Mu Beta Phi Military Fraternity Inc., RWP’s veteran-support partner.
RWP retains no portion of donations and does not guarantee tax-deductibility.
Dash Camera and Safety Policy
Drivers operating on the RWP Platform may use dash cameras or other in-vehicle recording devices that capture video and/or audio of passengers, vehicle interiors, and road conditions for safety, security, or evidentiary purposes.
By accepting a Ride, you acknowledge and consent to the potential presence of such devices. Recordings may be used by Drivers to document incidents, resolve disputes, or provide evidence to RWP, law enforcement, insurers, or regulators as permitted by law.
RWP does not monitor or control individual Driver recordings and assumes no responsibility for their legality, retention, or use. Passengers must not tamper with or obstruct a Driver’s dash camera or related equipment.
10. Cleaning and Damage Fees
Passengers are liable for any damage or contamination of a Driver’s vehicle, including spills, stains, bodily fluids, pet hair, or smoke odors.
Fees range from $25 to $250, verified by photographic evidence, and are automatically charged to the Passenger’s payment method.
Repeated or fraudulent incidents may result in permanent account deactivation.
11. Refunds and Adjustments
Refunds are issued only for verified overcharges or technical errors. Voluntary cancellations, no-shows, or misconduct are non-refundable.
All refund determinations by RWP are final.
12. Account Suspension or Termination
RWP may suspend or terminate accounts for any breach of these Terms, fraudulent activity, safety violations, or repeated cancellations.
Passengers may deactivate their accounts at any time by emailing info@rwpapp.com.

Aggregate liability shall not exceed the total amount paid by the Passenger to RWP in the preceding twelve (12) months.
15. Intellectual Property Ownership and License Restrictions
All content, technology, trademarks, software, and other materials on the Platform (“RWP Content”) are the exclusive property of Rides With Purpose, LLC or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for requesting transportation.
You may not copy, modify, distribute, reverse-engineer, or commercially exploit any part of the Platform.
All rights not expressly granted are reserved by RWP.
16. User Data and Privacy Rights
Your use of the Platform is governed by RWP’s Privacy Policy, which describes how personal and payment information is collected, used, and stored.
By using the Platform, you consent to:
The collection and processing of geolocation, trip, and device data;
The secure transmission of payment details to Stripe;
RWP’s lawful sharing of data with insurers, regulators, or law enforcement as required.
RWP does not sell Passenger personal information.
17. Notices and Electronic Communications Consent
You consent to receive communications from RWP electronically, including receipts, policy updates, and legal notices via email, SMS, or in-app notification.
Electronic delivery constitutes legally sufficient notice under these Terms.

18. Limitation of Claims and Survival
Any claim arising from Platform use must be filed within one (1) year of the event giving rise to the claim or be permanently barred.
Sections relating to Indemnification, Liability, Arbitration, Intellectual Property, and Governing Law survive account termination.
19. Force Majeure
RWP is not liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, natural disasters, labor disputes, pandemics, war, terrorism, power outages, or governmental actions.
Obligations suspended by such events shall resume once performance becomes practicable.
20. Entire Agreement, Severability, and Assignment
These Terms, the Privacy Policy, and any supplemental agreements constitute the entire agreement between you and RWP.
If any provision is deemed invalid or unenforceable, the remainder remains effective.
You may not assign these Terms without RWP’s written consent. RWP may assign them to any affiliate or successor entity without notice.
